By engaging NaviGo Tech Solutions, accessing our website, or purchasing our technology, marketing, or automation solutions, you agree to comply with and be bound by the following Terms and Conditions.

1. Scope of Services

NaviGo Tech Solutions provides professional digital services including, but not limited to, web design and development, search engine optimization (SEO), Meta and Google ad campaigns, AI voice agents, WhatsApp automations, CRM implementations, and bespoke software development. Detailed deliverables, scopes of work, milestones, and timelines are outlined in agreed client proposals or Service Level Agreements (SLAs).

2. Intellectual Property Rights

Upon receipt of complete payment for custom web development, branding, or software projects, the designated final deliverables are assigned to the client. Pre-existing proprietary frameworks, software libraries, AI prompts, and developer toolkits created by NaviGo Tech Solutions remain the intellectual property of NaviGo Tech Solutions, with the client granted a non-exclusive license for operational use.

3. Client Responsibilities

To ensure project success, clients agree to provide necessary assets, brand materials, account credentials, and approvals in a timely manner. Delays resulting from missing client inputs or unverified feedback may affect project delivery schedules.

4. Payments & Invoicing

Payments for services, retainers, and subscriptions must be made according to the schedule specified in the invoice or proposal. All electronic payments are processed securely via verified gateways such as Razorpay. Failure to clear invoices on due dates may result in a temporary suspension of active services or software deployments.

5. Confidentiality

Both parties agree to protect and maintain the confidentiality of all proprietary business data, trade secrets, customer lists, and strategic marketing plans shared during the course of engagement.

6. Limitation of Liability

To the maximum extent permitted by law, NaviGo Tech Solutions shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, downtime, or data corruption) arising out of or related to third-party outages, platform policy changes (e.g., Meta, Google, WhatsApp), or external disruptions.

7. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
